Mr. Perelman’s resignation was delivered relative to the the 2015 Cooperation Agreement between USA Truck and Baker Street Capital Management, LLC. The fiberglass mesh agreement provided if shares beneficially owned by Baker Street fell below 10% with the outstanding shares in the Company due to an extra offering of Baker Street’s shares conducted relative to the agreement, Mr. Perelman would tender his resignation from the directorate.
Mr. Perelman, a managing person in Baker Street, served like a director of USA Truck since May 2014.
